These Terms of Service govern your use of services provided by:

These terms are governed by the laws of England and Wales.

2. Acceptance of Terms

By accessing or using Catalyst's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

We reserve the right to modify these terms at any time. We will notify you of material changes at least 30 days in advance. Continued use of the service after changes take effect constitutes acceptance of the modified terms.

3. Description of Service

Catalyst is a marketplace connecting founders and their teams with AI specialists for rapid development services. We provide a platform for purchasing credits and accessing specialist expertise for MVPs, data pipelines, and technical implementation. All services are provided on a non-subscription, pay-per-use basis.

4. User Accounts

To use our services, you must create an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials.

Each account is one person's sign-in and is non-transferable. You may open and use it for yourself or for a company or other organisation. When you use it for an organisation, that organisation is the customer under these terms and is responsible for the account and everything bought through it, and you confirm you are authorised to accept these terms on its behalf.

Rights that the law gives only to consumers, such as the statutory right to withdraw from an online purchase, apply to an individual buying for personal use and not to an organisation buying for its business. Everything our policies promise, including the refund of unused credits, applies to every customer alike.

Because of international sanctions, we do not accept new sign-ups from Russia, Belarus, Iran, North Korea, Syria and Cuba, and we refuse payments with a billing address in these countries.

5. Credit Purchases

Credits are purchased directly as one-time payments. There are no subscriptions or recurring charges. Credits purchased include:

• No expiration period - credits remain valid indefinitely
• Non-transferable between accounts
• Can be used for any specialist services on the platform
• Subject to our Refund Policy for unused credits
• A custom top-up can be €1 to €20,000, or its equivalent in the currency you pick at the day's rate, with the upper limit rounded down to a round figure so it never exceeds €20,000

6. Consumer Rights

If you are a consumer in the United Kingdom or the European Union, you have the following rights:

6.1 Right of Withdrawal

You have the right to withdraw from credit purchases within 14 days of purchase without giving any reason. To exercise your right of withdrawal, you must inform us of your decision. You can use our contact form or email support@catalystai.expert.

If you have already used credits for services, the withdrawal right applies only to unused credits, and you will be refunded proportionally.

6.2 Digital Content

By requesting immediate access to specialist services before the 14-day withdrawal period expires, you acknowledge that you lose your right of withdrawal for services already rendered.

7. Prohibited Uses

You may not use our services to:

• Engage in illegal activities or fraud
• Violate intellectual property rights
• Harass, threaten, or harm others
• Distribute malware or harmful code
• Resell or transfer your account or credits to third parties
• Use services for any unlawful commercial purpose

8. Payments and Refunds

All payments are processed securely. Prices are set in credits (10 credits = €1.00 (euros)) and shown in the currency you choose, converted from the euro base rate at market exchange rates that we refresh once every 24 hours (if the rate source is unavailable, the last rates we received stay in use); you pay the amount shown, in that currency. We accept Visa and Mastercard.

Unused credits are refundable within 14 days of purchase, to the card you paid with, in accordance with our Refund Policy.

9. Data Protection and GDPR

We process your personal data in accordance with the General Data Protection Regulation (GDPR). Your rights include:

• Right to access your personal data
• Right to rectification of inaccurate data
• Right to erasure ("right to be forgotten")
• Right to data portability
• Right to object to processing
• Right to lodge a complaint with supervisory authorities

10. Intellectual Property

Specialists keep ownership of their pre-existing tools, methods and intellectual property. Deliverables made for you: the client owns the work once it has been paid for. There is no separate licence to buy. The Catalyst brand, logo, and platform are our intellectual property.

11. Limitation of Liability

To the extent permitted by the law that applies, our liability is limited as follows:

We are liable without limitation for damages caused by willful intent or gross negligence, for injury to life, body, or health, and under applicable product liability laws.

For slight negligence, we are only liable for breach of essential contractual obligations. In such cases, liability is limited to foreseeable, typically occurring damages. Nothing in these terms limits your statutory consumer rights under the law of the country where you live.

12. Termination

We may terminate or suspend your account for violations of these terms with reasonable notice. Upon termination, you retain access to any services already paid for. Unused credits will be refunded in accordance with our Refund Policy.

13. Specialists

If you deliver work on Catalyst as a specialist, these Terms apply to you together with our Specialist Agreement. Your contract is with CODEGENIX LTD., the same company that operates the platform for buyers.

• You earn 80% of the credits a buyer spends on a task you deliver; Catalyst keeps 20% as its platform fee.
• A specialist's share becomes payable once the buyer has paid for the task and the specialist has delivered it. Payouts are currently checked and sent by hand by our operations team, not split automatically at the moment of purchase, so do not rely on a payout arriving instantly.
• You can take paid work only after your application is approved and your identity documents are verified (see our AML Policy).

14. Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict of law provisions. The courts of England and Wales have jurisdiction; for business customers that jurisdiction is exclusive.

As a consumer, you have the right to bring legal proceedings in either:

• The courts of the country (in the UK or the EU) where you live, or
• The courts of England and Wales

If you are unable to resolve a dispute with us directly, you may also file a complaint with your national consumer protection authority.
