Specialist Agreement

1. Who This Agreement Covers

This Specialist Agreement applies to any individual who applies to, or is accepted as, a specialist ("Specialist," referred to on the site as a "Founder") on the Catalyst platform, operated by CODEGENIX LTD., Academy House 11 Dunraven Place, Bridgend, Mid Glamorgan, United Kingdom, CF31 1JF, Company Number: 16808123.

It is a separate, additional agreement to Catalyst's general Terms of Service, which also apply to you as a platform user. Where this Agreement and the general Terms conflict on a matter specific to specialists, this Agreement controls.

2. Independent Contractor Status

You provide services through Catalyst as an independent contractor, not as an employee, agent, partner, or joint venturer of Catalyst. You are solely responsible for determining how you perform the work you accept, for your own tax obligations (income tax, self-employment/social contributions, and VAT or equivalent where applicable in your jurisdiction), and for any licenses or insurance your work requires.

Nothing in this Agreement or your use of the platform creates an employment relationship, and you are not entitled to employee benefits of any kind from Catalyst.

3. Payment Split

For each task a buyer pays for and you deliver, you are entitled to 80% of the credits the buyer spends on that task; Catalyst retains the remaining 20% as its platform fee. This split is fixed and is not renegotiated per task.

4. Payment Timing

Earned amounts become payable once a buyer has paid for a task and you have delivered it. Payouts are currently processed manually by Catalyst's operations team rather than released automatically or instantly at the moment of delivery. We are working toward a faster, automated payout process; until that is in place, do not rely on any payout arriving instantly, and contact support@catalystai.expert if a payout is overdue.

5. Intellectual Property

As stated in the general Terms of Service §10, you retain ownership of your pre-existing tools, methods, and IP. Custom deliverables you create for a specific buyer transfer to that buyer upon full payment for the task, per the license terms agreed with the buyer for that engagement. You may not reuse a buyer's confidential materials or deliverables outside the scope of the engagement they paid for.

6. Unspent Balance on Termination

If your specialist account is suspended or terminated (by you or by Catalyst), any amount you have already earned for tasks completed and paid for by a buyer before termination remains payable to you, and will be paid out following the process described in §4 above. Amounts tied to work that was not completed, not delivered, or not yet paid for by the buyer at the time of termination are not owed.

7. Conduct and Quality

You agree to deliver work matching what you represent in your specialist profile and in task communications, to communicate with buyers professionally, and not to solicit a buyer to pay you outside the Catalyst platform for work initiated on the platform.

8. AML / KYC

As a specialist receiving payouts, you must complete the identity verification steps requested during onboarding and keep your information current. See our AML Policy for details.

9. Termination

Either party may end the specialist relationship at any time. Catalyst may suspend or terminate your specialist status for a breach of this Agreement, the general Terms of Service, or the AML Policy, or for conduct that harms buyers or the platform. Ending the specialist relationship does not affect your rights or obligations as a general platform user, which continue under the Terms of Service.
